About the job:
- As our first paralegal you’ll be expected to wear many hats (and to change them often and quickly), from contract administration to corporate governance to general paralegal responsibilities. We are looking for someone with zealous attention to detail, but also good judgment, business savvy and a head for the big picture. And of course we want someone who is awesome to work with!
Responsibilites:
- Manage form agreements and all contract documentation.
- Negotiate and process NDAs, consulting and miscellaneous service agreements.
- Help build and maintain our commercial contracting tools and processes.
- Help establish processes to document compliance with contractual obligations.
- Maintain legal email alias and handle response to requests, such as subpoenas.
- Assist with the preparation of materials and minutes for meetings of our Board of Directors and its committees, including drafting unanimous written consents and maintaining corporate records.
- Maintain the minute books and ensure completion of the annual filing requirements for Twilio and its subsidiaries.
- Assist in due diligence and other corporate matters in connection with potential acquisitions.
- Act as a liaison on behalf of Twilio with outside counsel.
- Perform legal research and maintenance of resources for all regulatory issues affecting Twilio – FCC rules, FTC rules, privacy regulations, etc.
- Assist in review of all legal expenses and invoices.
- Maintain current docket of patent, trademark and other IP filings.
- Assist in audit and tax support, as required.
- Help with ad hoc projects as needed.
- Suggest and implement improvements to make us more efficient across the Legal Department.
Requirements:
- 5-7 years of total legal experience.
- Ability to work independently and effectively in a fast-moving environment.
- Rigorous devotion to detail and organization; process-oriented.
- Excellent interpersonal and communications skills.
- Corporate governance and stock administration experience.
- Strong time management skills and ability to prioritize multiple projects across several functional departments.
- Courage to take initiative, address problems, and make continuous process improvements.
- Willing to work on a broad variety of legal and corporate matters.
- Commitment to professionalism and personal growth.
- Ability to scale and grow with an organization.
- Experience with stock administration and contract management tools such as CapMx, Equity Edge, Salesforce.com, Novatus and DocuSign (a plus).
- Start-up experience and registration as a notary (a plus) .
